Welcome to Forma Audio! By accessing our website or purchasing our Products, you agree to be bound by these Terms.

1. License and Usage Rights

When you purchase a Product from Forma Audio, you are not obtaining ownership of the sounds. Instead, you are purchasing a non-exclusive, non-transferable license to use the sounds in your own musical compositions and productions.

  • Permitted Uses: You may use the sounds in combination with other sounds in your music productions (e.g., beats, songs, soundtracks). You may sell, lease, or distribute your original musical compositions containing these sounds on platforms like BeatStars, Apple Music, and Spotify.

  • Prohibited Uses: You may not repackage, resell, lease, share, or redistribute the sounds in their raw, isolated form. You cannot transfer or loan this license to another person.

  • AI Training Prohibited: You may not use any Forma Audio sounds, loops, or samples to train, evaluate, or optimize any Artificial Intelligence or machine learning models.

2. Royalty and Clearance Policy

Our royalty structure depends on the type of sound used and the success/distribution of the final musical work.

A. One-Shots (100% Royalty-Free) All standalone one-shot samples (e.g., individual kicks, snares, accents, hi-hats, synth hits, 808s) included in Forma Audio products are 100% royalty-free. You may use them in any independent or major label release without requiring clearance, regardless of stream count.

B. Melodic Samples, Compositions, and Drum Loops The use of any pre-arranged audio, including but not limited to melodic samples, loop compositions, and drum loops, is subject to the following:

  • Independent Releases: Our loops and samples are royalty-free for independent artists and producers. You keep 100% of your beat sales and streaming revenue for independent releases, provided the track remains under 1,000,000 total streams across all digital streaming platforms.

  • Major Placements & High-Volume Streams (Clearance Required): Master clearance is guaranteed, but strictly required, if any of the following conditions are met:

    1. A track utilizing our loops/samples is placed with or distributed by a Major Label (e.g., Universal, Sony, Warner, or their subsidiaries).

    2. A track utilizing our loops/samples is released by a Major Artist.

    3. An independent release utilizing our loops/samples surpasses 1,000,000 total streams (cumulative across Spotify, Apple Music, YouTube, etc.).

  • Clearance Terms: Upon meeting any of the above criteria, you must contact Forma Audio at dionso@dionso.com to negotiate a fair split of publishing, master royalties, and/or advance fees.

3. Payments and Refund Policy

All transactions are processed securely. Because our Products are instantly downloadable digital goods, all sales are final. We do not offer refunds, exchanges, or returns once a digital product has been purchased. If you experience technical issues with a download, please contact our support team for assistance.

4. Intellectual Property

All Products, graphics, website design, branding, and text are the intellectual property of Forma Audio and are protected by copyright laws. Claiming ownership of Forma Audio's original sounds or branding is strictly prohibited.

5. Limitation of Liability

Forma Audio provides these Products "as is" without any warranties. Forma Audio is not responsible for any copyright strikes, takedowns, or legal disputes that arise from your use of the sounds on third-party platforms (e.g., YouTube Content ID). You are solely responsible for ensuring your use of the sounds complies with these Terms.

6. Changes to Terms

Forma Audio reserves the right to modify these Terms at any time. Any changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or Products after changes are posted constitutes your acceptance of the new Terms.
